These Terms of Service govern your use of this website and, where applicable, the supply of services by Softcomp Media LLC, a limited liability company registered in the State of Wyoming, United States, with its registered office at 1309 Coffeen Avenue STE 1200, Sheridan, WY 82801, United States.
1. Who we are and what we sell
Softcomp Media LLC is a full-service growth and digital agency. We provide professional marketing services — demand generation, paid media management, conversion optimisation, web and landing page development, analytics and attribution implementation, and lifecycle marketing — delivered under a written scope of work. We do not sell physical goods, software licences or downloadable products.
2. Use of this website
You may use this site for lawful purposes only. You may not attempt to gain unauthorised access to it, interfere with its operation, scrape it at scale, or use it to transmit unlawful or malicious material. All content on this site — text, design, graphics, code and marks — is owned by Softcomp Media LLC or its licensors and may not be reproduced without written permission.
3. No guarantee of results
Nothing on this website is a guarantee of any particular commercial outcome. Marketing performance depends on factors outside our control, including your product, pricing, market conditions and platform policy. Any figures, models or illustrations shown on this site are illustrative and are not a representation of the results you will achieve.
4. Engagements and scope
Services are supplied only under a signed scope of work or services agreement which sets out the deliverables, the named team, the reporting cadence, the term, the fees and the cancellation terms. Where these Terms conflict with a signed services agreement, the services agreement prevails.
5. Fees, billing and currency
- All fees are quoted and invoiced in United States dollars (USD).
- Retainer fees are invoiced monthly in advance. Project fees are invoiced against agreed milestones.
- Invoices are payable within 14 days of the invoice date unless the services agreement states otherwise.
- Advertising media budgets are paid by you directly to the advertising platforms. We do not mark up media spend and media budgets do not pass through our accounts unless expressly agreed in writing.
- Card and bank transactions will appear on your statement under the descriptor SOFTCOMP MEDIA.
- Fees are exclusive of any applicable taxes, which are your responsibility unless stated otherwise.
6. Your responsibilities
To deliver, we need timely access to the accounts, assets, approvals and information described in the scope of work, and a named decision-maker on your side. Delays caused by unavailability of these may shift the delivery schedule; fees remain payable for the contracted period.
7. Ownership of accounts and deliverables
Advertising accounts, analytics properties, tag containers, domains and data remain your property at all times. On full payment of amounts due, you own the deliverables we create specifically for you. We retain ownership of our pre-existing methods, templates, tooling and know-how, and may describe the engagement in general terms unless you ask us not to.
8. Confidentiality
Each party will keep the other’s non-public information confidential and use it only to perform the engagement. This obligation survives termination.
9. Term, cancellation and refunds
Cancellation and refund terms are set out in our Refund & Cancellation Policy, which forms part of these Terms.
10. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental or consequential loss, or for loss of profit, revenue or data. Our total aggregate liability arising out of an engagement is limited to the fees paid by you to us in the three months immediately preceding the event giving rise to the claim. Nothing limits liability for fraud, wilful misconduct or anything else that cannot lawfully be limited.
11. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules. The parties submit to the exclusive jurisdiction of the courts of that state, save that either party may seek injunctive relief in any competent court.
